Agreement to These Terms
These Terms and Conditions (the “Terms”) govern your access to and use of www.thecupboard-collective.com, any related online storefront, customer account, content, products, and subscription offerings (collectively, the “Services”) provided by The Cupboard Collective, (“Company,” “we,” “us,” or “our”).
By accessing the Services, creating an account, placing an order, or enrolling in a subscription, you agree to these Terms and our Privacy Policy, Refund and Return Policy, Shipping Policy, and any product- or subscription-specific terms presented at checkout. If you do not agree, do not use the Services. If you use the Services for an organization, you represent that you have authority to bind it.
Eligibility
You must be at least 18 years old, or the age of legal majority where you live, and legally capable of entering a binding contract. The Services are not directed to children under 13. You may not use the Services if applicable law prohibits you from doing so.
Accounts
You may need an account to access certain features. You agree to provide accurate, current, and complete information; keep your credentials confidential; and promptly update your information. You are responsible for activity under your account except to the extent caused by our failure to use reasonable security measures. Notify us promptly if you suspect unauthorized access.
We may suspend or terminate an account when reasonably necessary to protect the Services or other users, investigate suspected fraud or unlawful conduct, enforce these Terms, or comply with law. Where practical and lawful, we will provide notice. Account termination does not eliminate payment obligations incurred before termination.
Products and Availability
We make reasonable efforts to display product descriptions, images, colors, dimensions, and availability accurately, but displays and product details may vary. We may correct errors, update information, limit quantities, discontinue products, or cancel an order affected by an error or unavailability. If we cancel after payment, we will issue a refund to the original payment method.
Unless expressly stated otherwise, products are offered only for personal, lawful use and not for resale.
Orders and Acceptance
Your order is an offer to purchase. An order confirmation acknowledges receipt but does not necessarily constitute acceptance. We accept an order when we send a shipment confirmation, provide digital access, or otherwise expressly confirm acceptance. We may reject or cancel an order for legitimate reasons, including suspected fraud, pricing or inventory errors, payment failure, shipping restrictions, or violation of these Terms.
Prices, Taxes, and Payment
Prices are shown in U.S. dollars unless stated otherwise and may change prospectively. The total amount and any recurring charge will be disclosed before you submit the order. You authorize us and our payment processor to charge your selected payment method for the disclosed amount, including applicable taxes, shipping, and other charges. You are responsible for providing valid billing information and for charges authorized through your account.
If a payment is declined or reversed, we may pause fulfillment or subscription access and request another payment method. We do not guarantee that pricing or typographical errors will be honored; if an error affects your order, we will offer the corrected price or cancel and refund the order.
Shipping, Delivery, Risk of Loss, and Returns
Shipping options, estimated delivery windows, geographic restrictions, and charges are shown at checkout or in our Shipping Policy. Delivery dates are estimates unless we expressly agree otherwise. Title and risk of loss transfer as provided by applicable law and the shipping terms shown at checkout. Contact us promptly about a missing, damaged, or incorrect shipment.
Returns, exchanges, refunds, store credits, and any final-sale items are governed by our Refund and Return Policy, which is incorporated into these Terms. Nothing in these Terms limits any non-waivable consumer right.
Subscriptions and Automatic Renewal
This section applies whenever you enroll in a recurring subscription, membership, replenishment plan, or free or discounted trial that converts to a paid plan (each, a “Subscription”). Before enrollment, we will disclose the material Subscription terms, including the product or service, recurring price, billing frequency, trial or promotional period, minimum commitment (if any), renewal terms, and how to cancel. The checkout disclosures control if they conflict with this general section.
By affirmatively enrolling and providing a payment method, you expressly authorize us to charge the disclosed Subscription price, applicable taxes, and disclosed fees to that payment method on a recurring basis until cancellation. Unless disclosed otherwise, each Subscription automatically renews for successive periods matching the initial billing period.
We may change a Subscription price or material term prospectively by giving the notice required by applicable law. If you do not agree, cancel before the change takes effect. Your continued Subscription after the effective date constitutes acceptance only to the extent permitted by law. Cancellation must be reasonably simple and stops future recurring charges. Unless required by law or stated in the applicable refund policy, cancellation takes effect at the end of the current paid period and amounts already paid are nonrefundable. We will provide any renewal reminders, acknowledgments, and cancellation confirmations required by applicable law.
If a payment fails, we may retry the payment as permitted by your payment provider and law, request updated payment information, or suspend or cancel the Subscription. You remain responsible for amounts validly incurred before cancellation.
Promotions, Gift Cards, and Discount Codes
Promotions and discount codes are subject to the terms presented with the offer, may have eligibility and expiration limits, and generally cannot be combined unless stated otherwise. Gift cards, if offered, are governed by the terms disclosed at purchase and applicable law. We may refuse or reverse promotional benefits obtained through fraud, abuse, or material error.
Acceptable Use
You may not:
use the Services for unlawful, fraudulent, deceptive, or harmful activity;
interfere with security, availability, or operation of the Services;
access accounts or systems without authorization, introduce malicious code, or scrape the Services in violation of law or our written instructions;
impersonate another person, submit false information, or misuse payment credentials;
copy, modify, distribute, sell, or exploit the Services or content except as allowed by law or our written permission; or
use the Services to infringe another person’s intellectual-property, privacy, publicity, or other rights.
Intellectual Property
The Services and their content—including text, graphics, product names, logos, photographs, designs, software, and arrangement—are owned by or licensed to us and protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable license to access and use the Services for personal, lawful shopping and account-management purposes. No other right is granted by implication.
Reviews and Other User Content
If you submit a review, photograph, comment, or other content (“User Content”), you retain ownership of it. You grant us a worldwide, nonexclusive, royalty-free, sublicensable license to host, reproduce, adapt, publish, display, and distribute that User Content for operating, improving, and promoting the Services, subject to applicable law and our Privacy Policy. You represent that you have the necessary rights and that the User Content is accurate as to your experience and does not violate law or another person’s rights. We may moderate or remove User Content for legitimate reasons, but we are not obligated to publish it.
Third-Party Services and Links
The Services may rely on or link to third-party payment processors, carriers, platforms, or websites. Third parties operate under their own terms and privacy practices. We are not responsible for third-party services outside our control, but this does not limit responsibility that cannot lawfully be excluded.
Privacy
Our collection, use, and disclosure of personal information are described in our Privacy Policy at [PRIVACY POLICY URL]. The Privacy Policy is separate from these Terms. If you do not yet have a privacy policy, do not publish these Terms until an appropriate policy is in place.
Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” EXCEPT FOR ANY EXPRESS WARRANTY WE PROVIDE IN WRITING. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE EXTENT THEY MAY LAWFULLY BE DISCLAIMED. WE DO NOT WARRANT THAT THE SERVICES WILL ALWAYS BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
SOME STATES DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS DISCLAIMS A WARRANTY OR CONSUMER RIGHT THAT CANNOT LEGALLY BE DISCLAIMED.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER COMPANY NOR ITS OWNERS, OFFICERS, EMPLOYEES, OR SERVICE PROVIDERS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM THE SERVICES OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM A CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE PRODUCT OR SUBSCRIPTION GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT, OR (B) $100. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED, WHICH MAY INCLUDE LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, PERSONAL INJURY, OR VIOLATION OF NON-WAIVABLE CONSUMER RIGHTS, DEPENDING ON APPLICABLE LAW.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold Company harmless from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful misuse of the Services, your material violation of these Terms, or your infringement of another person’s rights. This obligation does not apply to the extent a claim results from Company’s own conduct, and it may not apply to consumers where prohibited by law.
Governing Law and Disputes
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules, except that mandatory consumer-protection laws of your home jurisdiction continue to apply when they cannot be waived. Before filing a lawsuit, you and Company agree to make a good-faith effort for 30 days to resolve the dispute informally by sending a written description and requested resolution to the contact information below. This requirement does not prevent either party from seeking urgent injunctive relief or filing in small claims court where eligible.
Any court proceeding must be brought in the state or federal courts located in Gallatin, Tennessee, and each party consents to their jurisdiction, except where applicable law permits or requires a consumer to bring a claim elsewhere.
Changes to the Services or These Terms
We may modify the Services and update these Terms prospectively. If a change is material, we will provide notice appropriate to the circumstances and as required by law. The “Effective date” above identifies the current version. Changes do not retroactively alter rights or obligations arising before their effective date unless the law permits and you agree. If you do not accept revised Terms, stop using the Services and cancel any Subscription before the changes take effect.
General Terms
If any provision is held unenforceable, it will be modified only to the minimum extent necessary or severed, and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law, subject to applicable consumer protections. These Terms, together with incorporated policies and checkout disclosures, constitute the entire agreement concerning the Services and supersede prior discussions about the same subject. Electronic communications and signatures may be used to the extent permitted by law.
